Terms and Conditions

Karrot is a trading name of Bigheads Marketing (KVK: 91577446), based in the Netherlands. When you book a project with us, you agree to these terms.

1. Services

Karrot provides branding and web design services, including:

  • Branding Only — Logo, colour palette, typography, LinkedIn banner, brand guidelines, email signature, and source files
  • One-Page Website — Conversion copywriting, custom one-page website design in Figma, Webflow development, and launch
  • Add-ons (One-Page Website only) — CMS setup, extra pages, ongoing optimization

All services are delivered digitally.

2. Orders and Payments

  • Branding Only: 100% of the total amount is paid upfront.
  • One-Page Website: 50% upfront, 50% on launch.
  • Add-ons are billed with the package they extend.
  • Work begins after payment is received.
  • Invoices are due within 14 calendar days of invoice date.
  • If payment is late, Karrot may pause the project until payment is received. Delays caused by late payment are the Client's responsibility.
  • All prices exclude VAT. VAT is added according to Dutch and EU law.

Karrot reserves the right to cancel orders where payment cannot be verified.

3. Delivery Timelines

  • Branding Only: Initial logo concept delivered within 48 hours of the Client completing the intake form.
  • One-Page Website: Project delivered within 3 weeks of Phase 1 (Structure & Copy) approval.

Timelines are estimates. To keep the 3-week delivery, the Client must meet the feedback requirements in Section 5. Missing a timeline does not entitle the Client to terminate or claim damages.

4. Phased Approval Process

Every project runs in phases. Each phase is approved before we move on.

One-Page Website phases:

  1. Structure & Copy
  2. Design
  3. Development & Launch

Branding Only phases:

  1. Logo concept and direction validation
  2. Brand system

Locking Principle. Once a phase is approved, it is locked. Changes to a locked phase fall outside scope and are quoted separately.

Automatic approval. If the Client does not respond with feedback within 3 working days, the phase is considered approved and Karrot moves on.

Text changes during design. Minor text changes (typos, word choice) that don't affect the layout are allowed during the Design phase. Text changes that affect the design (new paragraphs, longer sections, added content) are treated as changes to Phase 1 (locked) and quoted separately.

5. Feedback Requirements

To guarantee the 3-week delivery on the One-Page Website, the Client gives feedback within 24 hours of each deliverable.

  • If the Client does not respond within 3 working days, Karrot pauses the project and the delivery date shifts.
  • If the Client does not respond within 30 calendar days, the project is marked complete. All work delivered up to that point is handed over as-is. No refund.
  • Feedback must be specific, actionable, and constructive. General feedback like "I don't like it" without specifics is not a revision request.

6. Revisions

A revision IS:

  • Colour adjustments
  • Typography tweaks
  • Spacing changes
  • Copy adjustments within the approved structure
  • Image swaps
  • Button and icon style changes

A revision is NOT:

  • Changing a phase that was already approved
  • New logo concepts after direction validation
  • New page sections outside the original scope
  • A complete rewrite of approved copy
  • Design in a visual direction different from the approved moodboard
  • Adding pages or services not in the original agreement

Karrot offers unlimited revisions within the approved direction. Anything outside scope is quoted separately before we start.

For Branding Only, direction validation occurs when the Client explicitly approves the logo direction by email or by submitting a feedback form with a rating of 6/10 or higher.

7. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information
  • Complete the intake form within 48 hours of receiving it
  • Give specific, actionable feedback within 24 hours per phase
  • Ensure they have the legal right to all materials, names, and content submitted

Karrot does not verify trademark availability or legal ownership of names provided by the Client. The Client is fully responsible for legal compliance.

If a Client requests copyrighted, trademarked, or unauthorised material, Karrot reserves the right to refuse.

8. Intellectual Property

Ownership of the final deliverables transfers to the Client only after:

  • Full payment has been received, and
  • Final files have been delivered.

Karrot retains ownership of:

  • Unused concepts
  • Drafts and preliminary designs
  • Internal design files

Karrot reserves the right to display completed work in its portfolio and marketing materials. If the Client explicitly requests that their work not be displayed, Karrot will respect that request.

9. Use of Fonts, Mockups, and Stock Assets

  • Logos are fully custom-designed.
  • Mockups are used for presentation purposes only.
  • Branding materials may use licensed fonts or stock images.
  • Third-party assets remain subject to their original licensing terms.

The Client is responsible for obtaining extended licences if required for commercial reproduction.

10. Trademark Disclaimer

Karrot does not guarantee trademark registration or legal approval of any design. Trademark registration is the Client's responsibility. For legal advice, we recommend consulting a qualified trademark attorney.

11. Refunds

Refund eligibility is governed by Karrot's Refund Policy. By purchasing services, the Client confirms they have read and agreed to the Refund Policy.

12. Chargebacks and Payment Disputes

The Client agrees to contact Karrot before initiating any chargeback or payment dispute.

If a chargeback is initiated without prior communication:

  • All project work will be paused immediately
  • Karrot reserves the right to dispute the claim
  • Access to files and services may be revoked

Fraudulent disputes may result in permanent service refusal.

13. Cancellation and Inactivity

  • Orders may be cancelled before work begins.
  • After work begins, the Refund Policy applies.
  • Pause. If the Client does not respond for more than 3 working days, Karrot may pause the project.
  • Completion. If the Client does not respond for 30 calendar days, the project is marked complete. All work delivered up to that point is handed over as-is. No refund.
  • Reactivation. Reactivating a paused or completed project costs a €250 restart fee, subject to availability.

14. Karrot's Right to Pause or End a Project

Karrot may pause or end a project without refund in these cases:

  • Abusive or disrespectful behaviour
  • Non-payment
  • Repeated requests outside scope without agreement
  • Fraud or chargebacks initiated without prior communication
  • Legal or ethical concerns

15. Post-Launch Changes

Once the website is live or final files are delivered, any new work is quoted separately at Karrot's current rates. This includes new pages, new copy, new sections, and ongoing optimization.

16. Limitation of Liability

To the fullest extent permitted by law:

  • Karrot is not liable for indirect, incidental, consequential, or special damages.
  • Karrot is not responsible for business losses, lost profits, marketing outcomes, or third-party production errors.
  • Karrot is not responsible for problems with third-party platforms (Webflow, Cal.com, hosting providers, etc.).
  • Maximum liability shall not exceed the total amount the Client has paid for the specific service.

17. Disclaimer of Warranties

Services are provided "as is" without warranties of any kind.

Karrot makes no guarantees regarding:

  • Commercial performance
  • Brand success
  • Legal clearance
  • Compatibility with third-party platforms

18. Confidentiality

Both parties agree to keep confidential information shared during the project confidential.

19. Force Majeure

In case of force majeure (illness, technical failures, circumstances beyond Karrot's reasonable control), delivery is paused for the duration of the situation.

20. Termination

Karrot reserves the right to refuse service or terminate projects involving:

  • Abuse or harassment
  • Fraudulent activity
  • Violation of these Terms

21. Modifications

Karrot reserves the right to update or modify these Terms at any time. Updated Terms become effective upon posting on the website.

22. Applicable Law

These Terms are governed by Dutch law. Disputes are first resolved through discussion. If no agreement is reached, disputes are submitted to the competent court in the district where Karrot is registered.
